These Terms of Service (“Terms”) govern your access to and use of the GFO Stone International, LLC website, including *gfostone.com*, and establish the terms applicable to purchases of products from GFO Stone International, LLC (“GFO Stone,” “GFO,” “we,” “us,” or “our”).

By accessing or using this Website, submitting an inquiry, requesting pricing, placing an order, purchasing products, or otherwise conducting business with GFO Stone, you acknowledge that you have read, understood, and agree to these Terms and the applicable Sales Terms and Conditions below.

1. GFO Stone Business

GFO Stone International, LLC is a B2B supplier and distributor of natural and engineered stone slabs and surfaces.

GFO Stone supplies products including Quartz, Granite, Marble, Quartzite, Porcelain, and other natural and engineered stone materials to fabricators, contractors, designers, architects, builders, developers, and other trade professionals.

GFO Stone does not fabricate, cut, polish, install, or otherwise perform fabrication or installation services.

Customers are responsible for selecting qualified fabricators and installers and for ensuring that materials are appropriate for their intended application.

2. Website Use

You may use the Website for lawful business and informational purposes.

You agree not to:

• Use the Website for unlawful, fraudulent, or unauthorized purposes.
• Attempt to gain unauthorized access to the Website or its systems.
• Interfere with the operation or security of the Website.
• Introduce viruses, malware, or other harmful code.
• Scrape, copy, reproduce, or systematically collect Website content without written authorization.
• Copy or use GFO Stone photographs, product information, logos, graphics, or other proprietary content for unauthorized commercial purposes.
• Misrepresent your identity or relationship with GFO Stone.

GFO Stone reserves the right to restrict or terminate access to the Website for violations of these Terms.

3. Product Information

GFO Stone makes reasonable efforts to provide accurate product descriptions, photographs, dimensions, specifications, colors, finishes, and other information.

However, natural stone is inherently unique. Variations may occur in veining, tint, color, density, movement, texture, pattern, thickness, finish, and other characteristics.

Photographs, digital images, samples, and Website displays are provided for general reference and may not exactly represent the actual slab.

Samples are not a guarantee of the exact appearance of subsequent slabs. Variations inherent to the nature of natural stone shall not be considered latent defects.

Customers are responsible for inspecting actual material before fabrication or installation.

4. Inventory and Availability

Product listings and inventory information displayed on the Website are subject to change without notice.

A Website listing does not guarantee that a particular product, color, lot, slab, quantity, or size will remain available.

GFO Stone may correct inventory errors, product information, pricing errors, or other inaccuracies at any time.

5. Pricing and Quotes

GFO Stone is a B2B supplier and distributor. Pricing may be provided to qualified fabricators, contractors, builders, designers, architects, and other trade customers.

Website product information does not necessarily constitute an offer to sell.

Pricing may vary based on product, quantity, customer account, availability, market conditions, freight, taxes, and other factors.

Quotes and estimates are subject to availability and any expiration date stated in the applicable quotation.

6. Orders and Acceptance

Submitting an inquiry, requesting pricing, or submitting an order request through the Website does not automatically constitute acceptance by GFO Stone.

All orders are subject to acceptance by GFO Stone.

GFO Stone reserves the right to refuse or cancel an order where permitted by law, including because of inventory limitations, pricing errors, payment issues, suspected fraud, or other legitimate business reasons.

An accepted sale may be governed by the applicable quotation, sales order, invoice, purchase documentation, and these Sales Terms and Conditions.

7. Sales Terms and Conditions

The following provisions apply to purchases of products from GFO Stone unless otherwise agreed in a written document signed by an authorized representative of GFO Stone.

### 7.1 Force Majeure

All agreements and deliveries are subject to strikes, labor disputes, delays or failures of carriers, transportation interruptions, quarry conditions, manufacturing delays, weather, acts of God, governmental actions, shortages, supply-chain disruptions, or other causes beyond GFO Stone's reasonable control.

GFO Stone shall not be responsible for delays, losses, or failures to perform resulting from such circumstances.

### 7.2 Inspection Before Fabrication

Buyer must inspect all material prior to fabrication, cutting, modification, or installation.

Buyer is responsible for determining that the material meets the Buyer's requirements before fabrication begins.

Where blending, layout selection, orientation, or other material preparation is required, Buyer must prepare and approve the blending and layout prior to fabrication.

Once fabrication begins, Buyer assumes responsibility for the material to the extent permitted by applicable law for conditions that could reasonably have been identified through inspection.

### 7.3 Natural Stone Variation

Natural stone is a natural product, and each piece may be substantially unique in its veining, tint, color, density, movement, pattern, texture, and other characteristics.

Samples, photographs, and previously viewed slabs are intended to demonstrate general characteristics only.

Such variations are inherent in natural stone and shall not be considered latent defects.

Buyer acknowledges and accepts the inherent variation of natural stone products.

### 7.4 FOB Warehouse

All sales are FOB GFO Stone's warehouse unless otherwise specified in writing.

Unless otherwise agreed in writing, risk of loss and responsibility for transportation after the applicable point of shipment shall be governed by the agreed shipping terms and applicable law.

Buyer is responsible for confirming delivery arrangements and ensuring that the transportation method is appropriate for the purchased material.

### 7.5 Payment Methods and Card Convenience Fee

GFO Stone accepts payment methods designated by GFO Stone.

A 3% convenience fee will be added to all debit and credit card transactions, to the extent permitted by applicable law.

All returned checks will incur a $35.00 returned-check charge.

Buyer remains responsible for all amounts due under the applicable invoice, sales order, or other transaction document.

### 7.6 Return and Cancellation Policy

After 10 calendar days from the date of purchase, all sales are final.

After this 10-calendar-day period:

* GFO Stone will not accept returns. * GFO Stone will not issue refunds. * Purchases are considered final and non-cancellable, except where otherwise required by applicable law or expressly approved in writing by GFO Stone.

Within 10 calendar days from the date of purchase, Buyer may request cancellation without a cancellation penalty.

However, if the materials have already been delivered, a 25% restocking fee will apply to an approved cancellation or return.

All returns or cancellations remain subject to GFO Stone's approval, applicable product condition requirements, and any other applicable transaction terms.

Materials that have been fabricated, cut, modified, installed, damaged, or otherwise altered may not be eligible for return.

### 7.7 Condition of Returned Material

Any approved returned material must be in the condition required by GFO Stone and must be suitable for resale.

GFO Stone reserves the right to reject a return or adjust any applicable credit where material has been damaged, altered, fabricated, cut, installed, or otherwise rendered unsuitable for resale.

Transportation and handling costs associated with an approved return may be the Buyer's responsibility unless otherwise agreed in writing.

8. Fabrication and Installation Responsibility

GFO Stone supplies stone products but does not fabricate, cut, or install materials.

Buyer acknowledges that fabrication and installation are performed by independent third parties.

GFO Stone is not responsible for:

• Incorrect measurements or templates.
• Fabrication errors.
• Cutting or edging.
• Seam placement or seam appearance.
• Installation workmanship.
• Cabinet or substrate conditions.
• Job-site conditions.
• Improper handling or transportation by third parties.
• Damage occurring after the material leaves GFO Stone's control.
• Installation methods or procedures.
• Failure of a third-party fabricator or installer to follow applicable industry practices.

Buyer should consult the qualified fabricator or installer regarding measurements, fabrication, installation, support, sealing, maintenance, and suitability for the intended application.

9. Product Suitability

Buyer is responsible for determining whether a product is suitable for its intended use, application, environment, project requirements, and installation conditions.

GFO Stone may provide general product information but does not provide engineering, architectural, design, fabrication, or installation services unless expressly agreed in writing.

10. Website Content and Intellectual Property

All Website content, including text, photographs, product images, graphics, logos, trademarks, videos, designs, layouts, and other materials, is owned by or licensed to GFO Stone unless otherwise indicated.

No right or license is granted to copy, reproduce, modify, distribute, publish, sell, or commercially exploit GFO Stone's intellectual property without prior written authorization.

11. User Submissions

If you submit photographs, project information, reviews, comments, testimonials, or other content to GFO Stone, you represent that you have the legal right to provide that content.

You authorize GFO Stone to use submitted content for legitimate business, Website, marketing, promotional, and informational purposes, subject to applicable law.

Do not submit confidential or proprietary information belonging to another person or business without authorization.

12. Third-Party Websites

The Website may contain links to third-party websites and services.

GFO Stone does not control and is not responsible for the content, availability, security, privacy practices, or policies of third-party websites.

15. Limitation of Liability

To the maximum extent permitted by applicable law, GFO Stone shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the Website, products, delays, transportation, fabrication, installation, or other circumstances beyond GFO Stone's responsibility.

GFO Stone's liability, if any, shall be limited to the maximum extent permitted by applicable law and the terms of the applicable transaction.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

16. Indemnification

To the maximum extent permitted by law, Buyer agrees to defend, indemnify, and hold harmless GFO Stone, its owners, officers, employees, representatives, affiliates, and agents from claims, damages, losses, liabilities, costs, and expenses arising from or related to:

• Buyer's violation of these Terms.
• Buyer's misuse of the Website.
• Buyer's violation of applicable law.
• Buyer's fabrication, modification, transportation, handling, or installation of products.
• Acts or omissions of Buyer's contractors, fabricators, installers, carriers, or other third parties.
• Information or content submitted by Buyer.

17. Changes to These Terms

GFO Stone may update these Terms from time to time.

Updated Terms become effective when posted on the Website unless otherwise stated.

For purchases, the terms applicable to the transaction may also be stated in the applicable quotation, sales order, invoice, or written agreement.

18. Governing Law

These Terms shall be governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute relating to these Terms or the Website shall be subject to the applicable courts located in the State of New Jersey, unless otherwise required by law or agreed to in writing.

19. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid or unenforceable provision shall be enforced to the maximum extent permitted by law.

20. Entire Agreement

These Terms, together with any applicable quotation, sales order, invoice, written agreement, warranty, or other transaction-specific documentation, constitute the applicable agreement between Buyer and GFO Stone concerning the subject matter addressed therein.

If there is a conflict between these Website Terms and a separately signed written agreement, the separately signed agreement shall control to the extent of the conflict.
