Please read the full terms below before signing. They include a Personal Guarantee, so the person signing is personally responsible for the account's balance.
These GFO Pro Terms & Conditions ("Terms") apply to the business named in this application ("Applicant") and to the individual who signs below ("Guarantor"). They form an agreement with GFO Stone International, LLC ("GFO Stone" or "Seller") once GFO Stone approves the application. Please read every section before signing. If anything is unclear, contact your GFO Stone representative before you submit.
1. Program Eligibility & Approval The GFO Pro Program is open to qualified trade and industry businesses, such as fabricators, contractors, designers, architects, builders, dealers, and developers. Submitting an application does not create an account or guarantee approval. GFO Stone reviews each application and may approve, decline, or approve with conditions at its sole discretion. An approved account is for the Applicant's business use only and may not be transferred or shared without GFO Stone's written consent. 2. Account Information & Verification Applicant confirms that all information in this application is complete and accurate, and will promptly notify GFO Stone in writing of any material change, including a change of ownership, legal name, address, or tax status. GFO Stone may contact the trade and bank references listed, verify business registration and tax information, and obtain business and personal credit reports, as described under Authorization below. GFO Stone may review an account periodically and ask for updated information. 3. Pricing & Program Benefits Approved Members may receive access to trade pricing, project pricing, and other program benefits as described on the GFO Pro page. Pricing, product availability, and program benefits may vary based on product, quantity, project requirements, market conditions, freight, tariffs, and inventory. Pricing on a written quote or invoice applies only to that quote or invoice, for the period stated on it. Participation in the program does not guarantee product availability, pricing, or any specific commercial terms. Trade pricing and account information are confidential and are provided for Applicant's own business use. 4. Orders, Payment & Credit Unless GFO Stone approves credit terms in writing, payment terms are those stated on the quote or invoice for each order. Any credit line, credit limit, and payment terms are set by GFO Stone at its discretion and may be changed, reduced, or withdrawn at any time. Past-due balances may result in suspension of credit or of the account, and in the charges described in the Personal Guarantee below, to the extent permitted by law. 5. Resale & Sales Tax Sales tax will be charged on every order unless a valid resale or tax exemption certificate is on file with GFO Stone for the applicable state. Applicant is responsible for keeping its certificate current, and for any tax, interest, or penalties that result from an invalid or expired certificate. 6. Material, Fabrication & Installation Natural stone is a product of nature. Color, veining, pattern, texture, and finish vary from slab to slab and from lot to lot, and samples, photos, and online images are representative only. Applicant should inspect and approve material before it is fabricated. GFO Stone is a supplier of stone products and does not fabricate, cut, or install countertops. Applicant is responsible for the selection, fabrication, installation, and maintenance of material after delivery, and for following the manufacturer's care and installation guidelines. 7. Danger: Silica Dust Is Harmful If Inhaled Although finished products are not expected to present a silica exposure hazard during normal use, exposure to respirable crystalline silica dust generated during cutting, grinding, drilling, or fabricating can be dangerous and may cause serious health effects, including silicosis and lung cancer. When cutting, grinding, drilling, or fabricating, use wet cutting methods, dust collection systems (such as HEPA filters), and approved respiratory protection in accordance with OSHA Guidance (opens in a new tab) .
Applicant is responsible for complying with all applicable workplace safety laws, including OSHA's respirable crystalline silica standards, and for passing this warning on to its employees and anyone else who fabricates material purchased from GFO Stone. See our Safety & Health Awareness page for more information.

8. Changes, Suspension & Termination GFO Stone may modify, suspend, or terminate the program, any program benefit, or these Terms at its discretion. The version of these Terms in effect when an order is placed applies to that order. Either party may close the account by written notice. Closing the account does not affect any order already placed or any amount already owed, and does not revoke the Personal Guarantee except as stated in it. 9. Personal Guarantee
In consideration of credit extended by GFO Stone International, LLC ("Seller") to the applicant business ("Applicant"), the undersigned ("Guarantor") jointly and severally, absolutely, personally, and unconditionally guarantees the full and prompt payment of all obligations of Applicant to Seller, whether now existing or hereafter arising, including all invoices, interest, finance charges, late fees, collection costs, court costs, and attorneys' fees. This is a continuing guaranty and shall remain in effect until revoked by written notice actually received by Seller; however, such revocation shall not affect any obligations incurred prior to receipt of such notice.
Guarantor agrees that Seller may proceed directly against Guarantor without first proceeding against Applicant or any other party or collateral. Guarantor waives notice of acceptance, notice of default, demand, presentment, protest, and all other notices and defenses available under applicable law.
Guarantor acknowledges signing this Guaranty in an individual and personal capacity and not solely as an officer, member, manager, or representative of Applicant.
Guarantor authorizes Seller to obtain personal and business credit reports and financial information in connection with the extension and collection of credit.
This Guaranty shall be governed by the laws of the state in which the business operates, and Guarantor consents to the exclusive jurisdiction and venue of the courts located in the business location jurisdiction.
10. Authorization & Agreement By signing below, I certify that the information provided is true and correct, and that I am authorized to sign this application on behalf of Applicant. I authorize GFO Stone International, LLC to verify the above information and obtain credit reports as necessary for account approval and ongoing account review.
